Spire to Sell Mississippi Gas Utility with 745 Miles of Pipeline to Delta Utilities for $75 Million
Spire has agreed to sell its Mississippi natural gas distribution business, including 745 miles of pipeline, to Delta Utilities for $75 million as it refocuses on core markets.
(P&GJ) — Spire Inc. has agreed to sell its Mississippi natural gas distribution business to Delta Utilities for $75 million, a move that will shift ownership of a regional pipeline network serving about 18,000 customers.
The transaction includes approximately 745 miles of distribution pipelines located in south-central Mississippi, including the Hattiesburg area. Delta Utilities, which is backed by Bernhard Capital Partners, will take over operations of the system following closing.
Spire said the sale is part of a broader strategy to concentrate investment in its larger regulated utility markets. Proceeds from the transaction are expected to be used to support infrastructure upgrades across its remaining operations in Alabama, Missouri and Tennessee.
Spire President and CEO Scott Doyle said the company is narrowing its focus to core assets.
“This transaction sharpens our focus on our larger regulated gas utilities,” Doyle said, adding that the company plans to prioritize infrastructure modernization and customer affordability.
Delta Utilities CEO Tim Poché said the acquisition aligns with the company’s regional strategy and will support system reliability.
“This agreement reflects our long-term commitment to Mississippi and the customers and communities we serve,” Poché said.
The deal is subject to regulatory approval, including review by the Mississippi Public Service Commission, and is expected to close in the first quarter of Spire’s 2027 fiscal year.
